1General Terms

These Terms & Conditions (“Terms”) are a contract between you and Youtoo.Social SL (referred to in these Terms as "EUTOO", "us", "we" or "our"), the provider of the EUTOO App and the services accessible from the EUTOO App (which are collectively referred to in these Terms as the "Service"). By downloading, installing and/or using the EUTOO App, you confirm that you agree with and are bound by these Terms. The Terms apply to the entire EUTOO App and any email or other type of communication between you and EUTOO. If you do not agree to these Terms, please do not use the EUTOO App. In these Terms, "you" refers both to you as an individual and to the entity you represent.

2License and Restrictions

EUTOO grants you a limited, revocable licence to download, install, and use the EUTOO App under these Terms. This licence is personal to you, non-exclusive, and non-transferable — you can't pass it on to anyone else. You agree not to, and you will not permit others to:

License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially

exploit the EUTOO App or make the platform available to any third party.

Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the

EUTOO App.

Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of EUTOO or

its affiliates, partners, suppliers or the licensors of the EUTOO App.

3Eligibility and Minimum Age

EUTOO is intended for users aged 18 and over. By creating an account, you confirm that you are at least 18 years old and that you have the legal capacity to enter into these Terms. We do not knowingly permit use of the EUTOO App by anyone under 18. If we become aware that an account belongs to someone under 18, we may suspend or terminate that account and remove the associated content, without prior notice.

4Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out through your registered user account for the EUTOO App (“Account”). You agree to provide accurate information when creating your Account and to keep that information reasonably up to date. You agree not to share your Account with anyone else or allow another person to access it using your credentials. If you believe your Account has been accessed without your authorisation, you must notify us promptly and change your password where possible.

5User Conduct, Prohibited Content and Moderation

EUTOO is a space for public posts, friends-only posts, comments, groups and private messages. You are solely responsible for the content you post or send, and you agree not to use the EUTOO App to post, send, or share content that:

Is spam, or unsolicited commercial content;

Harasses, bullies, threatens, or intimidates another person;

Constitutes hate speech, or promotes discrimination or violence against a person or group on the basis of a

protected characteristic;

Contains nudity or sexual content;

Depicts, incites, or glorifies violence;

Is knowingly false or misleading in a way likely to cause harm (misinformation);

Infringes another person or entity's intellectual property, privacy, confidentiality or other legal rights;

impersonate another individual, organisation or business;

create a misleading identity or username;

use the Service for fraud or other unlawful purposes;

attempt to interfere with the operation or security of the Service;

upload malicious software or harmful code;

attempt to gain unauthorised access to another user's Account or to our systems;

use automated systems or bots in a manner that disrupts the Service;

repeatedly submit false or abusive reports through our reporting system; or

Is otherwise unlawful under applicable law.

Reporting content. If you see content or behaviour that you believe breaches these Terms, you can report it in the EUTOO App, currently only for posts, or for other content by writing an e-mail to support@eutoo.eu. We record who reported what, and why, so we can act on it and so the report itself is not lost or ignored. Enforcement. Where we determine, acting reasonably, that content or an account breaches these Terms, we may remove or restrict visibility of the content, issue a warning, suspend the account, or terminate it, depending on the severity and whether it is a repeated breach. We will generally notify you before suspending or terminating your account, and tell you what action we took and why, unless we reasonably believe advance notice would cause harm, is not appropriate given suspected illegal activity, or we are legally prevented from giving it. If you disagree with a moderation decision, you can appeal it by sending us an e-mail at support@eutoo.eu, and we will review the decision again. This section does not create an obligation for EUTOO to monitor content in advance, and EUTOO is not responsible for content posted by users except as required by applicable law.

6License You Grant Us for Your Content

You keep ownership of the text, photos, videos, and voice notes you post or send through EUTOO. To let us operate the EUTOO App, you grant EUTOO a non-exclusive, worldwide, royalty-free, transferable and sub-licensable licence to host, store, reproduce, display, transmit, and distribute that content, solely as needed to provide and improve the Service (for example, showing your "V oices" posts to other users, delivering messages to the recipients you choose, and enabling features like reposting). This licence ends when you delete the specific content or your account, except that: (i) content you have shared with others (for example, a repost, or a message you sent) may continue to exist in the copy held by the recipient; and (ii) we may keep copies for a limited period as needed to comply with law, resolve disputes, or enforce these Terms. You confirm that you have the necessary rights to post or send the content you share, and that doing so does not infringe anyone else's rights or break the law.

If you believe that content available through the EUTOO App infringes your copyright or other intellectual property rights, you may notify us using the contact details provided at the end of these Terms. Your notice should include sufficient information to identify the material concerned, your rights in that material, and the reasons you believe infringement has occurred. Where appropriate, we may remove or restrict access to the material while we investigate the complaint. We reserve the right to remove content that we reasonably believe infringes intellectual property rights and to suspend or terminate Accounts responsible for repeated infringement.

7Intellectual Property

The EUTOO App and everything in it — its text, graphics, software, and design — belongs to EUTOO or its licensors, and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or otherwise use this material beyond what these Terms allow. Youtoo.Social SL owns the EUTOO trademark.

8Your Suggestions

If you choose to provide feedback, ideas or suggestions about the Service and the EUTOO App, you grant EUTOO a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, develop and incorporate such feedback, ideas or suggestions into the Service without compensation or acknowledgement to you.

9Links to Other Websites

The EUTOO App may contain links to other websites that we don't operate or control. We're not responsible for their content, accuracy, or privacy practices. Once you follow a link away from the EUTOO App, these Terms no longer apply — the destination website's own terms and privacy policy take over, and it may use its own cookies or tracking methods.

10Updates to Our app

We may release updates to the EUTOO App from time to time, including patches, bug fixes, and new or improved features ("Updates"). Updates may change or remove features. We're not obligated to release Updates, or to keep offering any particular feature. Once released, Updates become part of the EUTOO App and are covered by these Terms. We may also perform scheduled or emergency maintenance from time to time. During maintenance, some or all of the Service may be temporarily unavailable. We may stop providing the EUTOO App, or any of its features, permanently or temporarily, at our discretion and without prior notice. We may modify, suspend, or discontinue the EUTOO App, or any service it connects to, at any time — with or without notice, and without liability to you.

11No Warranties

The EUTOO App is provided "as is" and "as available," without warranties of any kind, to the fullest extent the law allows. This means we don't guarantee the EUTOO App will be uninterrupted, error-free, secure, virus-free, or fit for any particular purpose, or that it will meet your requirements or work with any other software or service.

12Termination

If you violate any of these Terms, we reserve the right to cancel your account or block access to your account, subject to the notice-and-appeal process described in the User Conduct, Prohibited Content and Moderation section below. This

includes, in particular, violations of the minimum age requirement or the content standards set out below. You can delete your own account at any time from within the App; see our Privacy Policy for what happens to your data when you do. Please note that once the account is deleted it cannot be restored.

13Limitation of Liability

EUTOO's total liability to you under these Terms — and your only remedy — is limited to EUR 1,000. This limitation does not affect any liability that cannot be limited or excluded under applicable law, including the mandatory statutory rights of consumers under applicable law, or liability for death or personal injury caused by negligence, or for fraud or wilful misconduct. To the extent permitted under applicable law, we're also not liable for indirect or consequential losses — such as lost profits, lost data, business interruption, or loss of privacy — arising from your use of, or inability to use, the EUTOO App, even if we were told such losses were possible.

14Third-Party Services

We may include, or link to, content, products, or services provided by others ("Third-Party Services"). We don't control Third-Party Services and aren't responsible for their accuracy, legality, or quality, or anything else about them. Third- Party Services are provided purely for your convenience. You use them at your own risk, and their own terms and conditions apply.

15Miscellaneous

Law Enforcement and Government Requests. We may receive requests from law enforcement authorities, courts, or other government bodies for information about a user, and, where legally required, we will respond to valid requests in accordance with applicable law. Where legally permitted, we will try to notify the affected user before disclosing their data. Export Control and Sanctions Compliance. You may not use the EUTOO App if you are located in a country subject to an EU, UN, or applicable comprehensive trade sanctions or embargo, or if you are listed on any applicable restricted- party list. You agree to comply with all applicable export control and sanctions laws in your use of the EUTOO App. Force Majeure. EUTOO will not be liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including infrastructure or hosting-provider outages, internet or telecommunications failures, natural disasters, war, or acts of government. Severability. If any part of these Terms turns out to be unenforceable, that part will be interpreted to achieve its intended purpose as closely as the law allows, and the rest of these Terms will remain in effect. Assignment. You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations under these Terms as part of a merger, acquisition, corporate restructuring or sale of assets, provided that doing so does not reduce your legal rights. No Partnership. Nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and EUTOO. Waiver. If either of us doesn't enforce a right under these Terms, or delay in doing so, that doesn't mean we've given it up — we can still enforce it later. Waiving one breach doesn't waive any future breach. Nothing in these Terms limits any rights that cannot be waived under applicable law. Amendments to these Terms. We may update or replace these Terms at any time, at our discretion. If you keep using the EUTOO App after changes take effect, you're accepting the revised Terms. Survival. Any provisions of these Terms which by their nature are intended to survive termination, including those relating to intellectual property, user licences, limitation of liability, dispute resolution and governing law, will continue in force after your Account has been closed or these Terms have otherwise ended.

Entire Agreement. These Terms, together with our Privacy Policy and any other legal notices we publish, make up the entire agreement between you and EUTOO.

16Governing Law and Venue

These Terms are governed by Spanish law, excluding its conflict of laws rules. If you are a consumer residing in another member state of the European Union, you also benefit from any mandatory protections available under the laws of your country of residence. Any disputes will be subject to the jurisdiction of the Spanish courts, without prejudice to any mandatory right you have as a consumer to bring proceedings in the courts of your own country of residence.
